By clicking "Submit," you ("User") agree to be bound by the terms of this Click-Through Agreement("Agreement") with Serenity EHS Inc. ("Serenity EHS"),governing your use of the Serenity EHS software product ("Product") for the duration of the 30-day free trial period.
1. Trial Period:
1.1. The trial period shall commence upon the date of User's acceptance of this Agreement by clicking "Submit."
1.2. The trial period shall last for 30 days from the date of commencement unless terminated earlier in accordance with thisAgreement.
2. Grant of License:
2.1. Serenity EHS grants User a non-exclusive, non-transferable license to use the Product solely for evaluation purposes during the trial period.
2.2. User shall not sublicense, rent, lease, loan, or otherwise transfer the Product or any rights thereto.
3. Use Restrictions:
3.1. User shall use the Product in accordance with all applicable laws and regulations.
3.2. User shall not modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on theProduct.
4. Data Privacy:
4.1. User acknowledges and agrees that Serenity EHS may collect and process certain personal data in connection with User's use of the Product.
4.2. Serenity EHS will handle all personal data in accordance with its Privacy Policy, available at https://www.serenityehs.com/privacy.
5. Ownership:
5.1. User acknowledges and agrees that Serenity EHS retains all ownership and intellectual property rights in and to the Product.
5.2. User shall not acquire any ownership rights in the Product, whether by implication, estoppel, or otherwise.
6. Termination:
6.1. Either party may terminate this Agreement at any time forany reason by providing written notice to the other party.
6.2. Upon termination of this Agreement, User's access to the Product shall cease immediately.
7. Disclaimer of Warranties:
7.1. The Product is provided "as is" without any warranties of any kind, whether express or implied.
7.2. Serenity EHS disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability:
8.1. In no event shall Serenity EHS be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
8.2. Serenity EHS's total liability under this Agreement shall not exceed the amount paid by User, if any, for the Product.
9. Governing Law:
9.1. This Agreement shall be governed by and construed in-accordance with the laws of the State of California, without regard to its conflict of law principles.
10. Entire Agreement:
10.1. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or-contemporaneous agreements and understandings.
By clicking "Submit," User acknowledges that they have read, understood, and agree to be bound by the terms of thisAgreement. If User does not agree with any part of this Agreement, User should not proceed with the trial and should exit the page.
